Princeton partner Vince Gentile authored “Should New Jersey’s Minority Oppression Statute Apply to Foreign Corporations?” published in the “Off the Beaten Path” section of the October 2009 issue of New Jersey Lawyer. Vince’s article discusses two recent decisions involving successful minority shareholder claims against corporations that, although they have strong ties to New Jersey, are incorporated in other states. The decisions raise significant and difficult questions of policy for both controlling and minority shareholders, and inject uncertainty and unpredictability into the governance for those foreign corporations with close ties to New Jersey.
