The Chicago office hosted a CLE event for the ACC Chicago Chapter on June 26. The well-attended program, “The Anatomy of a Deal,” included three one-hour panels.

The first panel addressed latest deal trends, structures and issues. It was moderated by Drinker Biddle Corporate and Securities partner David Rubenstein, and included Robert Brown, CEO North America, Managing Director, Lincoln International; Joseph Greenberg, Vice President, Global M&A-Legal, Walgreens Boots Alliance, Inc.; and Christian McGrath, General Counsel and Managing Director, GTCR.

The second panel featured Kevin Freeman, Associate General Counsel, Securities & Transactions, Tenneco Inc. and Noemi Flores, Senior Counsel and Assistant Corporate Secretary, Tenneco Inc., who provided a behind-the-scenes look at Tenneco’s acquisition of Federal-Mogul, and the planned spin-off of a separate publicly traded company.

Lastly, Drinker Biddle Corporate and Securities Partner Jesse Ruiz moderated a panel about ethical considerations that apply to negotiations and interactions with opposing counsel, counter-parties and their principals. Panelists included Joe Seiler, Drinker Biddle Corporate and Securities partner and General Counsel, and Jeff Leslie, Clinical Professor of Law at The University of Chicago Law School.
