Philadelphia partner Larry Fox served as planning chair for this ALI-ABA program on identifying and resolving ethical red flags. Larry, former chairman of the ABA Standing Committee on Ethics and Professional Responsibility, also served as a presenter for this program, a hypothetical-based discussion examining the lawyer’s role and ethical obligations towards the organizational client in representing both the organization and its officers. Issues discussed include: how to avoid making organizational representatives your clients; how to handle the simultaneous representation of the organization and its employees and officers; waiver of the privilege and joint representations; cooperating with the government and protecting the attorney-client privilege; and protecting the organization client from contact by the other side's lawyer.
