Walter J. Mostek, Jr., is a partner in the firm's Corporate and Securities Practice Group and has more than 25 years' experience, with particular emphasis on acquisitions and dispositions of businesses, corporate finance, compliance with securities laws, private placements and general corporate representations.
Acquisitions and Dispositions. Walter has represented both purchasers and sellers in a wide variety of simple and complex acquisitions and dispositions of entire companies, as well as of separate businesses. He is experienced in the formation of partnership, corporate and limited liability company joint ventures.
Securities and Corporate Finance. Walter represents several public companies in securities law compliance matters, including with respect to short swing reporting and liability issues, filing requirements and general disclosure and reporting obligations. He has represented many corporations, partnerships and investors in private placements of equity, debt and convertible securities.
Corporate Governance. Walter has counseled clients on a wide variety of corporate governance issues, such as with respect to board and committee structures, listing standards, governance policies and takeover defenses.
General Corporate Representation. A substantial part of Walter's practice involves acting as a legal advisor to a number of small to mid-sized companies, both privately and publicly held. He is experienced in finding practical and legal solutions to day-to-day problems that face such companies.
In General. Prior to joining the firm in 1986, Walter was an associate with a large New York law firm. He is admitted to practice in New York and Pennsylvania.
