Associate
William L. Carr is a member of the Commercial Litigation Practice Group. He focuses his practice on Securities and Exchange Commission (SEC) regulatory investigations and enforcement actions; internal investigations; and construction, land use, and real estate litigation.
Securities Litigation. William has represented the office managing partner of a national accounting firm in connection with an investigation by the Public Company Accounting Oversight Board (PCAOB) concerning alleged workpaper violations under both PCAOB standards and generally accepted auditing standards (GAAS). No charges or claims were brought against the client. He also represented a former director of a publicly-traded international health care financing company in a shareholder and bondholder class action lawsuit alleging securities fraud and related claims under Sections 10(b) and 20(a) of the Exchange Act involving numerous alleged accounting irregularities, as well as related investigations brought by the SEC and the United States Attorney’s Office (USOA). No charges or claims have been brought against the client in either the SEC or USAO proceedings.
Internal Investigations. William has represented a Special Committee of the Board of Directors of a Fortune 500 company in connection with an investigation of alleged insider trading involving senior-level executives of the company. He also assisted in conducting a document-intensive investigation for a major health care company that involved unique and complex issues. In these engagements and others, William was responsible for managing various projects, including the retrieval, organization, review, and production of electronic data in response to civil, regulatory, and grand jury requests.
Construction, Real Estate and Land Use Litigation. William has represented owners and contractors in construction-related disputes, including complex litigation arising from the construction of luxury apartment and condominium buildings and mechanics' lien matters. He also has represented numerous clients in land use and real estate matters. These include commercial landlord/tenant disputes, mortgage foreclosure, bankruptcy, and litigation in connection with commercial real estate transactions.
Commercial Litigation. William has represented clients as plaintiffs and defendants in complex business disputes pending in state and federal courts, including a case involving the civil provisions of the Racketeer Influenced & Corrupt Organization (RICO) Act. He also has first-chaired a non-jury trial and an arbitration proceeding.
In General. William received his J.D., with honors, from Rutgers University School of law, and received his M.B.A., with high honors, from Rutgers University School of Business. While in law school, he completed an externship with the Hon. Dolores K. Sloviter, U.S. Circuit Judge for the Third Circuit Court of Appeals and an internship with the Hon. William J. Cook, J.S.C. of the New Jersey Superior Court, Criminal Division. William was also a Dean’s Scholar and received recognition for a top-ten brief and honorable mention best oralist in the Hunter Moot Court Competition. In addition, he served as articles editor of the
Rutgers Law Journal and was a teaching assistant in the legal research and writing/moot court program.
