About

Eric M. Dante counsels his clients in a broad variety of corporate matters for businesses of all sizes. His experience includes mergers & acquisitions; corporate governance; corporate finance (representing both borrowers and lenders) and asset-based lending; venture capital financing; the formation, organization and counseling of corporate venture funds; capital private equity transactions; the formation, organization and counseling of start-up and other emerging companies, and the drafting and negotiation of a wide variety of custom contracts for business clients in the pharmaceutical, public contract, manufacturing, retail, energy, medical and finance industries. Eric is a member of the firm’s Corporate and Securities practice group.

Before attending law school, Eric was an underwriting specialist for Prudential Financial, Inc.

  • Represented a leading provider of a data analytics to financial institutions in its sale to an existing investor of the majority of the remaining interests from the three founders and various other investors.
  • Represented a logistical services provider to the healthcare industry in the sale of its business division to a private equity firm.
  • Represented a partner in the sale of his 50% interest in the engineering and services company he co-founded, following a mediated dispute with his co-founder over the triggering of a “shot-gun” sale provision in the company’s organizational documents.
  • Represented a private e-commerce company in the sale of its company to a global payment technology solutions company through a reverse triangular merger.
  • Represented a leading manufacturer of architectural products in obtaining financing for its acquisition of a manufacturer of similar products and for general working capital purposes.
  • Represented an administrative agent of a syndicated loan facility in multiple amendments of a senior credit facility to permit acquisitions, join additional borrowers and guarantors, and secure additional collateral.
  • Represented the agent bank for a syndicate that financed an add-on acquisition in Canada for a U.S.-based multinational company.
  • Represented a global software solutions company in its negotiation of an amendment to its credit agreement to expand the loan facility and permit a special distribution to its shareholders.
  • Represented a multinational clothing retailer in its negotiation of a new $400M asset-based lending facility that refinanced its prior credit facilities.
  • Represented a private equity firm in the strategic acquisition of a manufacturer of architectural products by its wholly owned subsidiary.
