Neil K. Haimm is a partner in the Corporate and Securities Practice Group and one of the managing partners of the firm. He has been a corporate lawyer for more than 30 years. Neil's practice focuses primarily on acquisitions and divestitures, joint ventures and other strategic transactions and venture capital and private equity investments.

Acquisitions and Divestitures. Neil represents companies and private equity funds in merger and acquisition activities. 

Joint Ventures and Strategic Transactions. Neil represents technology and life sciences companies in the formation of joint ventures and in other strategic transactions. In recent years, he has represented Endo Pharmaceuticals in licensing of intellectual property and product development agreements with various biotech and pharmaceutical companies and in other strategic relationships.

Background. Neil received his undergraduate degree from the University of Pennsylvania and law degree and masters in taxation from New York University School of Law. Neil is admitted to practice law in New York, New Jersey and Pennsylvania. He is a Vice President of the Golden Slipper Senior Center, a center serving needs and sponsoring activities for seniors. He is also Vice President of Golden Slipper Charities, a Delaware Valley-based philanthropy. In addition, Neil serves as a member of the board of directors of the Association for Corporate Growth in the Philadelphia Region.

Acquisitions and Divestitures

  • the sale of Imaging Sciences International, a medical imaging company, to Danaher Corporation;
  • the sale by Inverness Graham Investments of its portfolio company, Extrumed, a medical device component supplier, to Roundtable Health Care Partners;
  • the purchase by Energy Solutions International, a software company serving the energy industry and a portfolio company of Inverness Graham Investments, of Entessa Inc. and the subsequent sale of Energy Solutions International to Oak Tree Investments;
  • the purchase by AMG Advanced Metallurgical Group of KB Alloys and a business line of BP Solar;
  • the purchase by Inverness Graham Investments of TechDevice & MP&E, medical device component suppliers; and
  • the sale of Crosswind Investments, an asset management firm, to Munder Capital Group, LLC.

Venture Capital and Private Equity

  • LLR Partners in a growth capital investment in IOD, a health care information services company;
  • Devon Park Bioventures in a venture capital investment in Iotek; and
  • Ryzing, an online gaming company, in its first financing by Seventy Six Capital.

Neil has also represented sponsors in the formation of venture capital, private equity and real estate funds, including:

  • CMS Investment Resources in the formation of 2 real estate funds focused on real estate used by education institutions; and
  • Inverness Graham Investments in the restructuring of its SBIC fund.
