Jerald M. Goodman is a partner in the firm's Philadelphia office.  His practice is focused on real estate, particularly land use, real estate development, real estate secured finance and retail and commercial leasing.  He handles all aspects of the real estate development process including permits and approvals, as well as the drafting and negotiation of design and construction agreements with architects, engineers, construction managers and general contractors. 

Jerry has assisted clients in major commercial development projects from start to finish, including development of office buildings, sports arenas, apartment buildings and shopping centers.  He has particular experience in the representation of universities, colleges and schools in connection with the construction and development of new facilities.  Jerry represents developers, owners and communal associations of condominium and other common interest projects.  He has drafted condominium and homeowner association regime documents for a number of local communities.

Leasing. Jerry has many years of experience in drafting and negotiating retail, commercial and office leases. He has served as counsel to a major institutional owner of property in connection with drafting and negotiating ground lease and development agreements for the construction and operation of several development projects, including a luxury apartment and office complex and a facility that includes administration offices, a restaurant and entertainment venue. 

Development. Jerry has represented a major health system in its acquisition and redevelopment of a hospital campus in Center City Philadelphia, including the formation of a joint venture to renovate and operate the facility. He has represented numerous clients involved in land use development and permitting issues, including the handling of zoning hearings and appeals and land subdivision and development matters. Jerry also has years of experience in handling construction and design agreements for developers and owners of real estate. 

Financing. Jerry has significant experience in handling real estate secured finance transactions and, in particular, the financing of health care facilities throughout the country. He has represented several major lending institutions in loan transactions involving the construction, development and operation of health care facilities, including nursing homes, assisted living facilities, and rehabilitation, psychiatric and long term acute care hospitals.

In General. Jerry is a member of the American Bar Association, the Pennsylvania Bar Association, the Florida Bar Association and the Philadelphia Bar Association. He was a contributing author to the Real Estate Systems Manual, published by the Pennsylvania Bar Institute, and has lectured at seminars on many topics, including Philadelphia zoning law and practice, Pennsylvania realty transfer tax, construction and design agreements, including commercial leasing issues. He is listed in Chamber's USA's 2009, 2010, 2011 and 2012 "Leaders in their Field" for Pennsylvania Real Estate. 

Jerry is a trustee and member of the Central Board of Settlement Music School of Philadelphia where he serves as chair of its Governance Committee. 

Representative Matters

  • Real estate counsel to a publicly traded energy and utility holding company in connection with a $800 million secured energy, marketing and trading facility. This credit facility is secured in part by mortgages on two power generating facilities in Pennsylvania.
  • Represented a publicly traded energy and utility holding company and its subsidiaries as real estate counsel with the $304 million acquisition of entities, which own and operate a 705-megawatt combined-cycle natural gas-fired power plant in Pennsylvania. 
  • Represented a private equity fund manager in connection with the drafting and negotiation of all construction and design agreements for its portfolio of properties, including the development of a 450,000 square foot industrial facility in Virginia and a 350 unit multi-family housing project in Pennsylvania.
  • Represented a major university and health system in connection with the acquisition of several healthcare facilities and physician practices. In addition to various leasing and real estate related matters. 
  • Represented a privately held, national developer of industrial properties in connection with the acquisition, permitting, development and financing of a 255,000 sq. foot warehouse and office project in Philadelphia. 
  • Represented a publicly traded REIT in connection with the sale of a 577,000 sq. foot enclosed shopping mall in New Jersey.
