Associate
Michael A. Smith is an associate in the firm’s Real Estate Practice Group, having joined the firm in the fall of 2006. He concentrates his practice on commercial real estate transactions and land use projects.
Acquisitions and Dispositions. Michael counsels clients on the acquisition and disposition of various types of commercial property (including office, industrial, and retail). He has a particular depth of due diligence experience. Recent transactions include representing a prominent regional bank on the acquisition of a hotel and conference center (through a deed in lieu of foreclosure arrangement), and the subsequent sale of that center.
Financing. Michael advises lenders and borrowers on loan transactions secured by real estate, including for example, the representation of a multinational financial services company on the origination of a $180 million dollar mortgage loan secured by a portfolio of 22 commercial properties nationwide. Recent transactions also include representing a major commercial bank holding company in connection with a refinancing of a $60 million dollar credit facility secured by a portfolio of 11 commercial properties nationwide.
Joint Ventures. Michael represents participants on the formation, restructuring, and operation of real estate joint ventures, including for example, the representation of a real estate development firm, on the formation of a joint venture with a global financial services firm, established to facilitate the ownership and development of industrial property.
Leasing. Michael handles commercial leasing matters for landlords and tenants, including the representation of a major wireless communications company as tenant, in connection with its national retail leasing program.
Land Use. Michael assists clients through the land use approval process in connection with significant commercial, residential, and mixed use projects, including residential high-rise, industrial, office, retail, and continuing care retirement communities. He also counsels clients on compliance matters related to land use statutes and regulations, including wetlands, water quality management, endangered species, and affordable housing.
In General. Michael is a LEED® Accredited Professional, a credential awarded by the U.S. Green Building Council (USGBC) to those professionals who have demonstrated an advanced depth of knowledge in green building practices and in the Leadership in Energy and Environmental Design (LEED®) Green Building Rating System™.
