Associate

Luc Attlan is an associate in the Corporate & Securities Practice Group.  He focuses his practice on a variety of corporate matters, including merger and acquisition transactions, general corporate, securities and governance, and government contracting matters.  His clients range from small businesses to multi-national Fortune 50 corporations.  He is fluent in French and Spanish, has duel citizenship (U.S. and France), and is a French Trade Andvisor and member of the French-American Chamber of Commerce.  Luc also has significant experience handling international transactions.

Mergers and Acquisitions.  Luc provides support on corporate mergers and acquisitions for private and public companies, including primary responsibility for drafting of deal documents, due diligence, contract review and assignment, schedules, closing checklists and preparations, and closings.

Representative matters include:
  • The acquisition for Cott Corp., an NYSE listed corporation, of a private label fruit juice business based in Dunkirk, N.Y.;
  • Raising $50 million for a real estate private equity fund to invest in real estate owned by companies and institutions involved in the education industry;
  • The $250 million stock sale for a Fortune 500 public company of one of its divisions;
  • The $400 million asset acquisition for a large foreign manufacturing company of an American subsidiary of another large foreign manufacturing company;
  • The purchase of two automobile parts manufacturing divisions for $51 million for a private equity fund; and
  • Various mergers with, and acquisitions of, trading firms for a proprietary trading firm.

General Corporate.  Luc reviews, drafts and negotiates a broad range of corporate agreements, including letters of intent, subscription agreements, private placement memoranda, operating agreements, joint venture agreements, purchase and supply agreements, distributor and sales representative agreements, and escrow agreements.  He advises clients on formation, organizational and general corporate issues, including drafting initial and subsequent company corporate documents. He is well-versed regarding various corporate legal issues, including provisions in Illinois and Delaware corporate statutes and under the Uniform Commercial Code.

Representative matters include:
  • The formation of various U.S. subsidiaries for foreign companies;
  • The preparation of terms and conditions for sales and supply arrangements for U.S. manufacturing companies;
  • The negotiation and drafting of subcontracting agreements and other contracts on behalf of one of America’s fastest growing MBE IT firms;
  • The negotiation and drafting of supply agreements and related financing arrangements between a large foreign company and its suppliers spread out over three continents.

Securities and Governance.  Luc provides support for large securities transactions, including due diligence coordination, and drafting and filing of SEC registration statements and ancillary documents.  He drafts documents related to federal and state securities laws, including Form 8-Ks, Section 13 filings and Section 16 filings. He reviews various periodic securities filings for compliance with securities laws, including Form 10-Ks, Form 10-Qs, Form 8-Ks and proxy materials. He also researches and counsels companies on a variety of securities matters, including Rule 144 under the 1933 Securities Act, reporting requirements under the Securities Exchange Act of 1934 and various state securities laws.

Representative matters include counseling:
  • A foreign insurance and reinsurance company in a $100 million public offering;
  • A public company in connection with a proxy contest initiated by a large stockholder;
  • Selling stockholders in a $170 million initial public offering; and
  • Holders of restricted securities regarding tacking and affiliate rules under Rule 144 of the Securities Act.

Government Contracting. Luc represents clients in connection with government procurement regulations, laws and policies, as well as with their certification as disadvantaged, minority and women business enterprises (D/M/WBEs).  He counsels clients with government relations and other government-related legal issues.  He also assists companies come into compliance with D/M/WBE utilization rules, including by helping them form strategic joint ventures with D/M/WBEs.

Representative matters include:
  • The preparation of a government report that included thorough analysis and evaluation of the best D/M/WBE programs in the US;
  • Assisting a Fortune 50 company come into compliance with D/M/WBE requirements in connection with a $200 million government contract;
  • The negotiation and formation of an MBE joint venture between a private equity group and a qualified minority;
  • The formation of an HMO subsidiary for an insurance company and its subsequent qualification to do business with the U.S. Office of Personnel Management; and
  • Assisting various small companies to become certified as D/M/WBEs and defending against adverse rulings by state and local government agencies.

International.  Luc is involved in the firm’s international practice and organizations as a result of his dual citizenship (U.S. and French), fluency in three languages (French, English and Spanish), and multicultural background (France, U.S., and Argentina).  He is the primary liaison of the firm with Soulier Avocats, the French Law Firm with which Drinker Biddle is affiliated through its membership in the World Law Group. In 2008, he spent three months in France (Paris and Lyon) interning at Soulier Avocats, where he gained additional experience assisting French and other European clients with their local and international corporate needs.  Luc is a member of the French-American Chamber of Commerce and was appointed in 2011 by the French government as a French Trade Advisor (CCEF).

Prior to joining the firm in 2006, Luc was an equity options trader with Third Millennium Trading at the Chicago Board Options Exchange.

In General.  Luc received his J.D. degree, cum laude, from the University of Illinois College of Law in 2006 and his bachelor's degree from the University of Illinois in 2000.  Luc was born and raised in France.
