Kelley Taylor Hearne is a partner whose broad transactional practice includes particular experience in transactions within the health care industry. Kelley's practice encompasses the areas of corporate law and planning, securities law, and mergers and acquisitions, with a primary focus on the negotiation, purchase and sale of privately held companies as well as the formation of joint ventures.
In addition, Kelley's experience includes roll-up acquisitions for a publicly-traded company, private placements, general corporate or other business entity formation and governance, general business contract drafting, and federal and state tax issues. She has also worked extensively with nonprofit organizations, giving her a broad understanding of the unique issues facing tax-exempt entities.
In 2006, Nightingale's Healthcare News named Kelley one of the nation's 12 outstanding young health care lawyers. In addition, Nightingale's Healthcare News named Kelley as one of the nation's ten outstanding physicians' practice lawyers in 2009.
Before joining the firm, Kelley was an associate at Akin Gump Strauss Hauer & Feld LLP in Washington, D.C. and an associate at Baker, Donelson, Bearman, Caldwell & Berkowitz, P.C. in Nashville, Tennessee.
