James M. Fischer is a partner in the firm's Corporate & Securities Practice Group.  Jim represents both public and private clients in various industries including insurance, financial, medical, chemical, pharmaceutical and nutraceutical, and general manufacturing.  Jim focuses his practices on mergers and acquisitions, divestitures, entrepreneurial matters, venture capital financings, secured and unsecured financing/lending transactions, corporate restructurings and general corporate matters.  Jim also focuses his practice on advising both individual and institutional clients in a variety of matters relating to investments in, and transactions with, domestic and foreign proprietary and high frequency trading firms and incubators, including in connection with the formation and operation of Trading Cross Connects and its affiliate Bay Head CI US LLC.  Jim's practice also includes counseling clients through majority and minority shareholder disputes.

Recent transactions on which Jim has counseled clients include:

• The divesture of a privately held manufacturer of support and protection products for the commercial AV, security, data/structured cabling residential entertainment music businesses in a strategic stock purchase acquisition.
• The divesture of a privately held provider of global communication system integrations and designs and technology solutions to a private equity buyer after a successful global auction process.
• The acquisition for Cott Corp., an NYSE listed corporation, of a private label fruit juice business based in Dunkirk, N.Y.
• The acquisition of a privately held truck leasing, transportation and logistics company for a privately held strategic buyer.
• A joint venture between strategic and financial partners in the formation of an incubator of high frequency trading teams within the Foreign Currency, Fixed Income, and Commodities spaces.
• A private placement of securities for a medical device company.
• The divesture of a privately held propane gas business to a strategic buyer.
• The divesture for private investors of DealOn, LLC, an internet service company that connects consumers with discounted offerings from local businesses to a publicly traded strategic buyer.
• The acquisition by a privately held strategic buyer of a privately held marketing agency focused on healthcare.  
• The representation of a group of independent investors in the formation of Dolce Acquisition Corp., an acquisition vehicle, and the subsequent merger with United Silicon Carbide, Inc. and acquisition of technology developed at Rutgers University that creates and manufactures silicon carbide components and devices.  
• The acquisition for a privately held strategic buyer of a business that provides administrative, compliance, operational, training and marketing services and solutions to support federally or state chartered credit unions in the United States offering, among other things, Individual Retirement Accounts, Coverdell Education Savings Accounts, Simplified Employee Plans and Health Savings Accounts.
• The acquisition for a privately held strategic buyer of a business that provides third-party plan administration services to sponsors of tax qualified retirement plans.
• The acquisition of multiple telecommunication hardware and service providers for a privately held strategic buyer.
• The acquisition of multiple privately held and municipally owned cable systems by Comcast Corporation.

In General.  Jim graduated Phi Beta Kappa and summa cum laude from The Catholic University of America in 1998 with a bachelor's degree in world politics and a minor in American history.  He received his J.D., magna cum laude, from Seton Hall University School of Law in 2001, where he was student notes editor for the Seton Hall Legislative Journal and research assistant to Associate Clinical Professor Virginia Hardwick in the Seton Hall Center for Social Justice.

In addition to the practice of law, Jim serves as a member of the board of directors of Trading Cross Connects US LLC and Trading Cross Connects Holdings Limited, providers of services to high frequency trading teams, and previously served as the chairman of the board of trustees of the American Herbal Products Association, a position to which he was elected on behalf of a client in the nutraceutical industry.

Prior to practicing law, Jim interned for the Hon. Marge Roukema, member of the U.S. House of Representatives and the Hon. Dr. Keith Hampson, member of the United Kingdom House of Commons.

Affiliations.  Jim is admitted to the New Jersey State Bar, the U.S. District Court for the District of New Jersey and the New York State Bar, and is a member of the American Bar Association, the New Jersey State Bar Association, the Corporate & Business Law Section of the New Jersey State Bar, the New York State Bar and the Business Law Section of the New York State Bar.
