Partner

Jill Bronson is a partner in Drinker Biddle's Corporate and Securities Practice Group and is team leader of the Corporate Finance Team. She is also the regional partner in charge of the Philadelphia office.

Jill has had vast experience handling a wide range of financing transactions, both as counsel to agent banks and as counsel to borrowers. As counsel to lending institutions, Jill has represented major regional and national banks and other financial institutions in diverse types of financing matters and in industries as varied as health care and telecommunications. As counsel to borrowers, Jill has represented venture capital funds, telecommunications entities and manufacturing firms in deals. She has had experience dealing with complex intercreditor issues, regulatory matters and unusual collateral problems.

Jill has also been involved with the issuance of debt securities. She has counseled clients in 144A offerings, both for investment-grade and non-investment-grade companies in diverse industry lines.

Jill has:

    • Represented the issuer, a food distributor, in $1 billion private placement of debt instruments;
    • Represented the administrative agent in a secured credit facility for a vertically-integrated mining company with shared-collateral issues;
    • Represented the administrative agent in a senior secured credit facility for a regulated borrower with multiple layers of debt and equity financing;
    • Represented the borrower in a $1 billion multi currency revolving credit facility in connection with a corporate recapitalization;
    • Represented the administrative agent in a $500 million amend-and-extend transaction;
    • Represented the administrative agent in a private equity dividend recapitalization; and
    • Represented that borrower in a commercial paper back-up facility and related matters.

Jill has been recognized by Chambers USA as a Leading Individual in the area of Banking and Finance since 2008 and has been named as a Super Lawyer on multiple occasions.

In her corporate practice, Jill has advised clients in mergers and acquisitions and in various types of investments, as well as counseled clients on general business matters.

In General. Jill was born in Philadelphia. Following law school, she practiced law in New York at Shearman & Sterling and returned to Philadelphia in 1983. Prior to coming to Drinker Biddle & Reath LLP in 1995, she practiced at Cohen Shapiro Polisher Sheikman and Cohen.
