The Practice Note discusses how the Trust Indenture Act (TIA) applies to out-of-court restructurings and intersects with the U.S. Bankruptcy Code. It provides an overview of the TIA and its history, the types of debt securities subject to the TIA, the protections afforded securityholders under Section 316(b) of the TIA, and how courts have interpreted these protections.
