Princeton partner Vince Gentile authored an article, “NJ Supreme Court Clarifies Standards for Expulsion of LLC Members,” for the New Jersey Law Journal. The article analyzes the New Jersey Supreme Court’s decision in IE Test v. Carroll, which addresses member expulsion from an LLC when it is “not reasonably practicable to carry on the business” as long as the member remains part of the entity. Vince examines the high court’s considerations in deciding that the high standard for expulsion was not met and explores potential implications for similar cases going forward.
