Corporate partner Doug Raymond and business litigation partner Oderah Nwaeze coauthored an article for Directors & Boards titled “Understanding Delaware’s MFW Process,” which discusses situations when company managers enter into a transaction with people or entities they know or with whom they have a close relationship.

Raymond and Nwaeze note that the purpose of the Kahn v. M&F Worldwide Corp. (MFW) process is to minimize the opportunity for interests other than those of the company and its stockholders to infect the transaction. The authors give an overview of a recent Delaware Court of Chancery decision that involved the MFW process.
