Douglas B. Swill is a managing partner of the firm and chair of the Health Care Practice Group. His practice is concentrated in the representation of health systems, hospitals and physician groups throughout the United States. Doug also represents health care-related non-profit professional and trade associations. He counsels clients on a variety of health care regulatory and corporate matters, including acquisitions and dispositions, governance and non-profit issues, Stark, anti-kickback and tax-exemption law analyses, Healthcare Reform, Medicare and Medicaid audits, coverage and overpayment issues, compliance program audits, voluntary disclosures, regulatory and due diligence reviews, and contract projects.
Doug has assisted hospital systems and physician group practices throughout the United States on structuring and documenting transactions to address healthcare regulatory risks as well as licensure, certification and reimbursement matters. Doug has represented health systems and hospitals in more than 100 merger, acquisition and affiliation transactions.
Additionally, Doug regularly counsels hospitals in the areas of physician integration strategies and physician compensation matters.
Doug is consistently recognized by

Illinois Super Lawyers. In 2006, he was named one of the country's "Outstanding Physician Practice Lawyers" by

Lead Counsel:
- Representation of a community-based hospital in the merger into a larger suburban Chicago health system;
- Representation of several hospital systems in purchases and sales of physician practices, including advice on corporate structuring for physician services and physician compensation methodologies;
- Representation of a New York community hospital in the sale of substantially all of its assets to a New York academic medical center;
- Representation of a new single specialty physician group upon consolidation of three physician specialty groups;
- Representation of a community-based hospital system in organizing and implementing an integrated physician organization with a physician governing council;
- Representation of a pediatric medical center for ten years as outside general counsel;
- Representation of an Ohio-based health care system in the affiliation of three hospitals;
- Representation of a multi-state Catholic health care system in acquisition due diligence of eight hospitals;
- Representation of a multi-state Catholic health care system in the sale of a New Jersey hospital to a municipality and long-term care facility to a for-profit company;
- Representation of a national retailer in a regulatory review of optometry and pharmacy operations;
- Representation of a pediatric hospital in compliance-related matters; and
- Representation of a Florida multi-hospital system in the establishment of a management services organization to assist in physician integration activities.
Prior to joining the firm in 1993, he was an assistant state’s attorney in Chicago and practiced in the Office of the State’s Attorney’s Federal Litigation and Hospitals Departments. In that capacity, Doug represented Cook County Hospital in general counsel matters and Cook County officials in federal litigation matters that included oral arguments before the U.S. Court of Appeals for the Seventh Circuit.
In General. Doug is a graduate of Washington University School of Law and he received a postgraduate LL.M. degree in health care law from Loyola University School of Law. He is a frequent speaker on health care and non-profit law topics before many professional groups, including the Chicago Bar Association, American Health Lawyers Association and Healthcare Financial Management Association, as well as at board of directors and senior management meetings.
