We are skilled in the formation of joint ventures, including partnerships, limited liability companies and tenants-in-common.
We provide advice in the unique issues raised in the formation of ventures between institutional investors and more risk-tolerant development companies, as well as work with unique assets such as mixed-use projects, air rights and subdivided and condominium interests. We also counsel clients undertaking equity fundraising and prepare private placement offering subscriptions.
We regularly handle the negotiation of joint venture agreements relating to the ownership of and investment in real estate, including limited liability company operating agreements and partnership agreements. We handle matters ranging from ventures between individuals investing in a single property to ventures involving portfolios of properties funded by institutional investors, including pension funds and investment banks. We are well-versed in the structure and customary terms of these transactions on both the “money partner” and the “operating partner” sides, including governance structure, capital contribution requirements and unwind provisions such as buy/sell and “put” rights. As tax provisions are a central element of these agreements, our real estate lawyers work closely with our firm’s tax lawyers to structure and negotiate the tax provisions.
