Our Real Estate industry team assists real estate companies, developers, brokers and construction companies in every aspect of acquiring, selling, developing, financing, managing and restructuring real estate assets.

We represent sources of capital, which include lenders and equity investors, and the users of capital, including developers and long-term owners of real estate assets, on projects across the country.

We regularly handles issues such as financing, joint ventures, mergers and acquisitions, sales and acquisitions for REITs, pension funds, opportunity funds and private equity funds, for national developers and other investors. We are skilled in the formation of joint ventures, including the unique issues raised in the formation of ventures between institutional investors and more risk tolerant development companies. We also have experience working with unique assets such as mixed-use projects, air rights and subdivided and condominium interests.

Our real estate finance experience includes conventional term mortgage, bridge and construction financing, participating and shared appreciation mortgages and mezzanine financing. Our real estate lawyers have substantial experience representing lenders in projects involving multiple financing sources and are skilled in financings involving condominium hotels, multistate portfolios, office and industrial condominiums and tenant-in-common structures.

We have a vast depth of experience handling real estate acquisitions and dispositions, project financings and structuring transactions. Real Estate

Construction

We guide clients through all phases of the construction project, from feasibility analyses and design, bidding, construction, commissioning and closeout. We negotiate and draft contracts, represent clients before regulatory bodies and help clients minimize the fallout from troubled projects. Our lawyers also have decades of experience representing clients in the construction industry in land use litigation matters. Our clients include some of world’s largest international companies, hospitals, manufacturing plants and commercial and residential developers.

Corporate

We assist real estate clients with a variety of corporate needs such as structuring, negotiating and closing debt and equity financings of real property, mergers and acquisitions, formation of joint ventures and advising on federal, state, local and international tax matters. We counsel clients on their obligations under federal securities laws and prepare regulatory filings, and work with boards of trustees, management and outside consultants on issues such as executive compensation and employee benefits.

Employee Benefits and Executive Compensation

Our team works with clients to develop executive compensation arrangements, including equitybased compensation plans, bonus plans, stock options, stock appreciation rights, restricted stock, restricted stock units, employment agreements, severance agreements, elective nonqualified deferred compensation and supplemental retirement plans.

Environmental and Energy

We assist clients with minimizing and managing environmental risks involved in real estate. We work with clients to ensure regulatory compliance, manage environmental and toxic tort litigation and work with state and federal regulatory agencies to conduct cost-effective, voluntary and mandated clean-ups. Our team has significant experience counseling clients on Superfund and brownfields redevelopment matters. We also help our clients address “green” issues involved in environmental, construction, intellectual property, real estate, land use and permitting matters and the impact of these issues in acquisitions, financing and other commercial and transactional matters. We work with clients on developing clean and renewable energy facilities, energy efficiency and microgrids, as well conventional and nuclear power plants and a range of other infrastructure including wind, solar, biomass, fuel cells, tidal, geothermal and biofuels projects.

Land use and zoning

Our lawyers work with developers and property owners in every phase of land development and redevelopment to secure permits and approvals, and negotiate various agreements with governmental agencies. We have significant experience representing clients in proceedings before planning commissions, zoning and design review boards and other local governmental bodies to secure the necessary permits and approvals for development projects.

Our lawyers are known for their ability to work effectively and cooperatively with government officials at all levels. We are called upon by our clients to draft and negotiate annexation agreements and development agreements and we are experienced in handling re-zoning, variances and special use permits to further our client’s objectives. Our experience also includes subdivision and site plan approvals and planned unit developments. For our development clients, we often create and execute plans to preempt, manage and mitigate public controversy and stakeholder intervention. When needed, we have a successful record of defending permits in litigation.

Leasing

We represents both owners and users — landlords and tenants —in office, retail and industrial lease transactions throughout the country. We combine our legal experience with an understanding of the business needs and objectives of our clients to provide practical advice and facilitate successful completion of the transaction. Our landlord clients include some of the most prominent names in the industry. We are able to leverage our market knowledge and experience to offer timely and value-oriented service, with the goal of providing our clients a competitive edge in a demanding marketplace.

On the tenant side, we have long-standing relationships with large consumers of leased space throughout the country, including office users and several national retail chains. Our ability to focus on the business needs of our tenant clients, no matter the size or geographic location of the space, allows us to complete transactions efficiently and effectively. In addition to traditional space leases, our lawyers are experienced in ground leases, air rights leases, master leases, sale/leasebacks, credit tenant leases and a variety of other mixed-use leases.

Property Management

As a natural outgrowth of our investment and leasing practice, our landlord clients regularly seek our advice on a variety of issues arising in connection with the management of their assets. We assist our clients with landlord-tenant disputes, tenant bankruptcy questions, labor issues, insurance matters, vendor contracts and environmental concerns.

Redevelopment

Our team is well-versed in navigating the often controversial processes of obtaining blight designations and of designating areas in need of redevelopment. Once an area is designated, we work with our clients and their design professionals on redevelopment plans and design criteria that conform to the zoning and land use ordinances and regulations for these redevelopment zones.

Tax Incentives

We regularly counsel clients regarding the myriad of local and state tax incentive, grant and financing programs that are available to developers, owners and tenants to help finance projects. We assist clients in securing tax exemptions and abatements and in negotiating and drafting payments in lieu of taxes (PILOT), including those secured by bond financing.
