Alex W. Zabrosky concentrates his practice in corporate and commercial law and transactions. He has a diverse practice that focuses on advising consulting and professional services firms.

In addition to having been a partner at Gardner, Carton & Douglas for 18 years prior to its combination with Drinker Biddle in 2007, Alex’s background includes several years as Vice President - General Counsel of Alexander Proudfoot Company, a major international consulting firm.

Alex’s clients include a wide range of firms engaged in management consulting, financial and business advisory services, valuation, investment banking, strategy, information technology consulting and implementation, operational improvement, marketing, litigation support, health care, education, risk management and executive recruiting. His clients range from start-ups to middle market to major global consultancies.

Alex very often serves clients in a General Counsel role, is highly experienced in virtually all of the legal issues that would affect them and is effective in addressing and resolving those myriad issues.

He advises clients on company structures, governance, ownership and shareholder issues and agreements, M&A, financing, corporation law, securities and regulatory compliance and global strategies. He handles a broad array of commercial transactions, including contracts, public and private financings, joint ventures, partnerships and teaming arrangements. He develops and helps negotiate engagement letters, service agreements, MSAs, NDAs, joint venture and licensing arrangements and independent contractor agreements.

Alex has helped clients establish companies and advises on the legal aspects of operations of those entities throughout the world including the U.S., Canada, Mexico, South America, Europe, the Far East, Australia, India, Japan and South Africa. He has served as Chair of the firm’s International Practice.

Alex has helped clients develop systems and procedures to minimize legal exposures, including risk management checks and balances, and education and compliance programs. He supervises significant litigation and arbitration matters with a particular perspective on the client’s business, both domestically and globally. He also counsels his clients on employment laws, policies, compliance, employment agreements, non-competes and other human resources issues, and has implemented worldwide IP protection programs.

Some of his major projects include the development and implementation of turnkey contracts and engagement letters for major multi-line global consulting firms; the development and implementation of global expansion strategies; a multitude of consulting arrangements with public and private universities and healthcare institutions; the structuring and implementation of tax-efficient company reorganizations; a $200 million reverse-merger of a U.S.-based international consultancy into a London Stock Exchange company; a $90 million acquisition by tender offer of a U.S.-based AMEX listed consulting company; a $37 million acquisition of a Swedish-based multi-national consulting company; the acquisition and divestiture of numerous consulting and professional service firms and practice groups; a $500 million teaming agreement between three professional service firms and a United Nations agency; establishment of a U.S. and international securities law compliance program for a major global professional services organization; a multi-million arbitration between a U.S. and Mexican company; resolution of numerous domestic and transnational disputes regarding professional services; design and implementation of risk management and loss control programs.

In General  Alex has written articles of interest to the consulting profession that have appeared in Consultants News, The Journal of Management Consulting and Consulting magazine. He has been quoted, among other places, in Business Week and Global IT Consulting Report. He is a frequent speaker before professional consulting and business organizations. Alex serves as General Counsel to the Institute of Management Consultants. In 2000 Alex received the Institute’s Outstanding Achievement Award. In 2005 he was awarded the Institute’s Distinguished Service Award for his work on behalf of the consulting profession. He is also active in the Association of Management Consulting Firms. Alex has consistently been recognized by Law & Politics as a Super Lawyers in general business practice and by Leading Lawyers as one of the top lawyers in M&A and international trade law.
